TERMS OF SERVICE & PROFESSIONAL SERVICES AGREEMENT

OVERVIEW
Welcome to ADU Landscape (“ADU Landscape,” “we,” “us,” or “our”). ADU Landscape operates this website and online store to provide professional landscape planning, feasibility review, plan check correction, and related consulting services for Accessory Dwelling Unit (ADU) and residential projects (the “Services”).
By visiting our website, purchasing services, uploading project materials, or otherwise engaging with ADU Landscape, you agree to be bound by these Terms of Service & Professional Services Agreement (“Terms”), together with our Privacy Policy. If you do not agree to these Terms, you may not use our Services.
SECTION 1 — ELIGIBILITY, AUTHORITY & ACCOUNT RESPONSIBILITY
By using the Services, you represent and warrant that:
- You are at least the age of majority in your jurisdiction.
- You have the legal authority to enter into this Agreement.
- If acting on behalf of a company, firm, or client, you are authorized to bind that entity.
- All information you provide is accurate, current, and complete.
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account.
SECTION 2 — PROFESSIONAL SERVICES OFFERED
ADU Landscape provides digital professional services, including but not limited to:
- ADU Landscape Feasibility Reviews
- Permit-ready Landscape Plan Preparation
- Plan Check Comment Corrections
- Landscape code and ordinance compliance analysis
- Optional add-on services selected during checkout (such as expedited delivery, HOA submittals, brush management, or enhanced scope)
All Services are:
- Project-specific
- Digitally delivered
- Non-transferable
- Based on the information provided by the customer.
Addressing plan check comments within our scope is included in this proposal. Revisions due to other consultant’s changes as a result to plan check comments from their discipline will be charged separately on an hourly basis.
PROJECT RELATED EXPENSES:
Travel spent in the interest of the client would be charged out at $.70 per mile. Final payment is required before delivery of Construction Documents. Project related expenses may include blueprinting and reproduction, soil laboratory fees, and other similar related expenses are billed at cost plus 10%. Invoices would be submitted as required for additional items requesting by approval agency, and would be due upon receipt.
SECTION 3 — REGULATORY REVIEW AND APPROVAL LIMITATIONS
While ADU Landscape prepares Services using applicable municipal codes, ordinances, and standard professional practices:
- Permit approval is not guaranteed.
- Final authority rests solely with the reviewing jurisdiction.
- We are not responsible for changing interpretations, discretionary decisions, or code enforcement outcomes.
SECTION 4 — CLIENT RESPONSIBILITIES
You agree to:
- Provide accurate, complete, and up-to-date project information.
- Upload all required plans, surveys, and documents promptly.
- Review deliverables in a timely manner.
- Understand that revisions or scope changes may require additional services or fees unless expressly included.
Delays caused by missing, inaccurate, or incomplete information are not the responsibility of ADU Landscape.
SECTION 5 — ORDERS, ACCEPTANCE & WORK COMMENCEMENT
Placing an order constitutes an offer to engage ADU Landscape for professional services. Orders are accepted once payment is successfully processed. Work typically begins after required project materials are received. Orders cannot be canceled once work has commenced. Refunds, if any, are governed exclusively by our Refund Policy.
SECTION 6 — PRICING, ADD-ONS & SCOPE CHANGES
Prices displayed at checkout reflect the base service price plus any selected add-ons. Additional work outside the purchased scope—including expanded site areas, additional revisions, jurisdictional changes, or new requirements—may require additional fees or a new service purchase.
SECTION 7 — DELIVERY TIMELINES
All delivery timelines are estimates only and not guarantees. Expedited delivery applies only when explicitly purchased and may still be affected by client responsiveness, jurisdictional complexity, or third-party review timelines.
SECTION 8 — DIGITAL DELIVERY (NO SHIPPING)
All ADU Landscape Services are delivered digitally. No physical products are shipped, and no shipping or carrier obligations apply.
SECTION 9 — INTELLECTUAL PROPERTY & LICENSE
All deliverables remain the intellectual property of ADU Landscape until full payment is received. Upon full payment, you are granted a limited, non-exclusive license to use the deliverables solely for the specific project for which they were prepared. You may not reuse, resell, distribute, or apply deliverables to other projects without prior written consent.
SECTION 10 — ARCHITECTS, BUILDERS & THIRD-PARTY RELIANCE
ADU Landscape is not the Architect of Record and does not provide structural, civil, biology, arborist or engineering services. Coordination with architects, engineers, builders, and other consultants remains the responsibility of the customer.
SECTION 11 — DISCLAIMER OF WARRANTIES
All Services are provided “AS IS” and “AS AVAILABLE.” ADU Landscape expressly disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, permit approval, or third-party acceptance, to the fullest extent permitted by law.
SECTION 12 — LIMITATION OF LIABILITY
To the fullest extent permitted by law, ADU Landscape’s total liability shall not exceed the amount paid for the specific service giving rise to the claim. We are not liable for indirect, incidental, consequential, or special damages, including permit denial, construction delays, or project costs.
Landscape Architect makes no warranty, either expressed or implied as to his findings, recommendations, specifications or professional advice except that the work was performed pursuant to generally accepted standards of practice in effect at the time of performance. Landscape Architect makes no representations concerning soil conditions, and he is not responsible for any liability that may arise out of the making or failure to make soil surveys or sub-surface soil tests, or general soil testing.
SECTION 13 — INDEMNIFICATION
You agree to indemnify and hold harmless ADU Landscape from any claims arising out of:
- Inaccurate information you provide.
- Misuse of deliverables.
- Reliance by third parties beyond the agreed scope.
SECTION 14 — TERMINATION
We may suspend or terminate access to the Services at any time for violation of these Terms. Provisions relating to intellectual property, liability, indemnification, and governing law survive termination.
In the event of termination due to the fault of parties other than Landscape Architect, Landscape Architect shall be paid his compensation for services performed to termination date, Reimbursable Expenses, and termination expenses.
SECTION 15 — GOVERNING LAW
These Terms are governed by the laws of the jurisdiction in which ADU Landscape is headquartered, without regard to conflict-of-law principles. Any claim, dispute or other matters in question by either the owner/client or architect arising from, related to, or breach of, will be filed with, subject to and decided by no-binding mediation, in accordance with the Construction Industry Rules unless parties mutually agrees otherwise.
SECTION 16 — CHANGES TO TERMS
We reserve the right to update or modify these Terms at any time. Continued use of the Services constitutes acceptance of the updated Terms.

Additional Services
If additional services are needed, such as bidding assistance, permit processing, construction site visits, or client requested changes after approvals, we would be happy to help. These services would be provided under a separate agreement and billed at our hourly rates.
